Bess,
Corporate Finance and M&A
During his career as an investment banker, Mr. Bess
has participated in buy- and sell- side M&A transactions,
private equity financings, restructurings and joint-venture
negotiations. Most recently, Mr. Bess was with Dresdner
Kleinwort Wasserstein, where he was a founding member
of the Private Equity Advisory Group. His primary responsibilities
in this position included advising growth-stage companies
on private equity financing, completing sell-side M&A
assignments and developing and maintaining relationships
with the Financial Sponsor community.
Mr. Bess holds a Master’s degree in Business
Administration, with a concentration in international
finance from Columbia Business School, and a Bachelor
of Arts degree from Colby College.
Mr. Bess has lived and worked in England, Belgium and
Italy, and is fluent in Italian. |

| Peter
Rothschild
President and CEO
Peter Rothschild has been involved in both investment
and merchant banking for over 25 years. During this
time, he has been engaged in over 100 transactions,
including mergers and acquisitions, capital raising,
restructuring, corporate advisory work and principal
investing, aggregating several billions of dollars.
On the agency side, Mr. Rothschild’s clients include
publicly traded companies, private companies, financial
buyers and mezzanine lenders. He has very close relationships
with senior partners at many of the private equity sponsors,
leading mezzanine lenders, hedge funds and other providers
of capital. He has focused on industrial companies in
the aerospace, apparel, automotive, building products,
chemicals, distribution, energy, general manufacturing,
paper and packaging and textile industries, and service
companies including consumer, restaurants and financial
services.
Prior to founding Daroth Capital, Mr. Rothschild was
a Managing Director and Co-Head of the Leveraged Finance
and Industrial Finance groups at Dresdner Kleinwort
Wasserstein and its predecessor Wasserstein Perella.
At Wasserstein, he served as a member of the policy
committee and the capital commitment committee. Mr.
Rothschild was a Senior Managing Director and Head of
the Natural Resources Group at Bear Stearns prior to
Wasserstein, and was one of the founders of the firm’s
Leveraged Finance and Financial Buyer Coverage groups.
Mr. Rothschild was also a Managing Director and Head
of the Industrial Group at Drexel Burnham Lambert. Mr.
Rothschild has served on the board of directors of several
companies and currently serves as a director of Wendy's/Arby's
Group, Inc. (NYSE: WEN).
Mr. Rothschild graduated from Tufts University, summa
cum laude, with a Bachelor of Science Degree in Mechanical
Engineering and from Harvard Graduate School of Business
Administration with a Master’s Degree in Business
Administration.

| Stanley
Stein
Corporate Finance and M&A
Stanley Stein has been an investment banker and financial
advisor for over 30 years. Mr. Stein’s tenure
has included working on some of the most complex advisory
and financing assignments in the market and consequently,
he has worked on transactions, worth in the aggregate,
in excess of $100 billion. He has advised many major
corporations in unsolicited control contests as well
as with their acquisition and financing strategies.
In addition, he has successfully spearheaded the execution
of sophisticated financings for his clients. Mr. Stein
has developed several financial products to suit the
particular needs of his clients. Over the years, he
has originated, advised, structured, negotiated, and
financed a whole variety of domestic, cross-border,
and European based transactions in a wide variety of
market sectors. His European focus has been Germany,
although he has represented Belgian, Swiss, French,
and Danish companies as well.
Mr. Stein was trained as an investment banking generalist
and has developed a reputation as a recognized specialist
in healthcare services, devices, products, as well as
life sciences, and pharma. He has advised some of the
largest companies in the healthcare industry as well
as start-ups and major investment funds. Additionally,
he has raised and arranged financing for these businesses.
Mr. Stein has built a successful financial advisory
firm as well as held top positions at Dresdner Bank,
Drexel Burnham Lambert, Paine Webber, and Oppenheimer
& Co.
Mr. Stein holds a BA and JD from Columbia University.

| Jeff
Hopkins
Corporate Finance and M&A
Jeff Hopkins joined Daroth Capital in June of 2010.
While at Daroth, Mr. Hopkins has worked on merger &
acquisition and high yield acquisition financing transactions.
Prior to business school, he served as Director of
Research at Student Lending Analytics LLC, an independent
research and advisory firm located in Palo Alto, CA
dedicated to helping universities recommend the best
lenders for students seeking financial aid. Previously
he worked as a consultant at Deloitte Consulting. Prior
to Deloitte, he served as Research Manager at Equilar
Inc., an information services firm located in San Mateo,
CA that helps clients analyze compensation and financial
data garnered from SEC filings via online products and
customized research capabilities.
Mr. Hopkins received a Master’s degree in Business
Administration with specializations in Finance, Management
and Accounting from the NYU Stern School of Business
and a Bachelor of Letters and Science degree in Statistics
and Economics from University of California, Berkeley.
