| Peter
Rothschild,
President and CEO
Peter Rothschild has been involved in both investment
and merchant banking for over 25 years. During this
time, he has been engaged in over 100 transactions,
including mergers and acquisitions, capital raising,
restructuring, corporate advisory work and principal
investing, aggregating several billions of dollars.
On the agency side, Mr. Rothschild’s clients include
publicly traded companies, private companies, financial
buyers and mezzanine lenders. He has very close relationships
with senior partners at many of the private equity sponsors,
leading mezzanine lenders, hedge funds and other providers
of capital. He has focused on industrial companies in
the aerospace, apparel, automotive, building products,
chemicals, distribution, energy, general manufacturing,
paper and packaging and textile industries, and service
companies including consumer, restaurants and financial
services.
Prior to founding Daroth Capital, Mr. Rothschild was
a Managing Director and Co-Head of the Leveraged Finance
and Industrial Finance groups at Dresdner Kleinwort
Wasserstein and its predecessor Wasserstein Perella.
At Wasserstein, he served as a member of the policy
committee and the capital commitment committee. Mr.
Rothschild was a Senior Managing Director and Head of
the Natural Resources Group at Bear Stearns prior to
Wasserstein, and was one of the founders of the firm’s
Leveraged Finance and Financial Buyer Coverage groups.
Mr. Rothschild was also a Managing Director and Head
of the Industrial Group at Drexel Burnham Lambert. Mr.
Rothschild has served on the board of directors of several
companies and currently serves as Chairman of the Board
of Deerfield Triarc Capital Corp. (NYSE: DFR) and as
a director of Wendy's International, Inc. (NYSE: WEN).
Mr. Rothschild graduated from Tufts University, summa
cum laude, with a Bachelor of Science Degree in Mechanical
Engineering and from Harvard Graduate School of Business
Administration with a Master’s Degree in Business
Administration.

Andrew
Bess,
Corporate Finance and M&A
During his career as an investment banker, Mr. Bess
has participated in buy- and sell- side M&A transactions,
private equity financings, restructurings and joint-venture
negotiations. Most recently, Mr. Bess was with Dresdner
Kleinwort Wasserstein, where he was a founding member
of the Private Equity Advisory Group. His primary responsibilities
in this position included advising growth-stage companies
on private equity financing, completing sell-side M&A
assignments and developing and maintaining relationships
with the Financial Sponsor community.
Mr. Bess holds a Master’s degree in Business
Administration, with a concentration in international
finance from Columbia Business School, and a Bachelor
of Arts degree from Colby College.
Mr. Bess has lived and worked in England, Belgium and
Italy, and is fluent in Italian. |

Haitham
Wahab,
Corporate Finance and M&A
Haitham Wahab has worked in the
investment banking industry for ten years. During this
time, he has been involved in a broad range of transactions,
including debt and equity financings aggregating over
$4 billion, as well as M&A advisory mandates exceeding
$80 billion in transaction value. Mr. Wahab’s
transaction expertise has spanned a universe of clients
ranging from small entrepreneurial companies to large
cap public multinational companies, with a focus on
the telecommunications and media sector.
Prior to joining Daroth Capital Advisors, Mr. Wahab
worked in the Telecom and Media Group at JPMorgan Securities.
At JPMorgan, his transaction experience included providing
strategic advisory services, raising private equity,
and executing debt and equity financings for his North
American and Latin American clients. Most recently,
he served as a Vice President in the European Telecom
and Media Group of JPMorgan Securities, where he led
a team focused on providing corporate finance and strategic
advisory services to cable TV and broadband connectivity
providers. His experience included the structuring and
execution of a $17 billion balance sheet restructuring
for NTL, Inc., at the time the largest public restructuring
to date.
Mr. Wahab has a Bachelor of Science Degree in Economics
from the London School of Economics and Political Science.
Mr. Wahab has lived and worked in the Middle East,
Germany and the UK. He is fluent in Spanish, French,
German and Arabic.

| Phil
Mayer ,
Corporate Finance and M&A
Phil Mayer works on M&A transactions and corporate
finance projects in a variety of industries.
Prior to joining Daroth, Phil worked primarily in management
consulting to financial services clients. At Mercer
Oliver Wyman, he advised Fortune 500 insurance companies
on merger and acquisition strategies and international
banks on compliance with Basel II risk capital requirements
and the implementation of value-based management systems.
Previously, in Mercer Management Consulting’s
private equity group Phil provided transaction sponsors
with acquisition due diligence support and portfolio
company operational improvement recommendations. His
experience also includes internal consulting positions
at UBS, Bank Leumi, and Lehman Brothers.
Phil Mayer joined Daroth Capital after receiving his
Master of Business Administration degree from New York
University’s Leonard N. Stern School of Business,
where he was the recipient of the Peter G. Sachs academic
scholarship.
Phil graduated summa cum laude from the University
of Pennsylvania’s Wharton School with a Bachelor
of Science degree in Economics and minors in History
and Mathematics. He has worked in England, Switzerland,
and Israel and is proficient in Hebrew.
